By accessing or using our website, API, or applications (“Services”), you agree to these Terms & Conditions (“Terms”). If you do not agree, do not use the Services.
1. Who We Are
These Services are provided by Vocant LLC (“Vocant,” “we,” “our,” “us”). Contact: support@vocant.ai.
2. Eligibility & Accounts
You must be at least 18 years old to use the Services.
Provide accurate account information and maintain the security of your credentials. You are responsible for all activity under your account.
3. Permitted Use & Acceptable Use Policy
You agree not to misuse the Services. Prohibited uses include (without limitation): unlawful content, infringing or defamatory content, attempts to bypass security, reverse engineering, abuse of rate limits, automated scraping not permitted by us, or using the Services to develop competing models or datasets without written consent.
4. Service Description
Vocant provides AI-assisted transcription and related tools (e.g., diarization, timestamps, exports to .srt
, .vtt
, .txt
, .docx
). Enterprise plans may include healthcare and legal workflows, HIPAA BAA, SSO, and optional private model fine-tuning with prior approval.
5. Plans, Billing & Taxes
- Paid plans are billed via Stripe under the pricing published on our site unless otherwise agreed in writing.
- You authorize Vocant and Stripe to charge your payment method on a recurring basis (if applicable) until cancellation.
- Prices and features may change with notice. Applicable taxes are your responsibility.
- Trials, promotions, and discounts (if any) are subject to posted terms or written agreements.
6. Cancellations & Refunds
You may cancel at any time, effective at the end of your current billing period. Refunds are not guaranteed and are issued at Vocant’s discretion unless required by law. Enterprise contract terms prevail where applicable.
7. API Terms
- API access is provided. Keep credentials secure and comply with any rate limits or quotas we publish.
- We may monitor usage to prevent abuse, ensure stability, and improve the Services.
- We may suspend or revoke API access for violations, instability, or security concerns.

8. Your Content & License
- You retain ownership of the audio/video/text you upload and the resulting transcripts (“User Content”).
- You grant Vocant a limited license to process and store User Content solely to provide the Services and support.
- You represent you have all rights necessary to upload and process the User Content.
9. Privacy & Data Handling

- US-only data hosting: By using the Services, you acknowledge your data is processed and stored in the United States.
- Deletion: When you delete content or your account, it becomes immediately inaccessible; encrypted backups may persist for a limited period per our SOC 2–aligned retention policies.
10. Model Training & Fine-Tuning
- Free plans: User content may be anonymized and used for training and quality control purposes. We will not attempt to re-identify anonymized data.
- Paid plans: Your content is not used to train shared models unless you provide explicit written consent.
- Enterprise fine-tuning (add-on): With purchase/enablement of this add-on service, we can fine-tune a model that is dedicated and private to your organization. Your data will not be used for any other purpose or retained for any other function.
Note: Details regarding data minimization, pseudonymization, and retention for model improvement may be further defined in product documentation or your agreement.
11. Healthcare & Legal (Enterprise)
- For healthcare use, a Business Associate Agreement (BAA) is required. Without a BAA, do not upload PHI.
- Healthcare and Legal-specific workflows and models are available on Enterprise plans.
- You are responsible for ensuring your use complies with applicable laws and professional obligations.
12. Security
We use industry-standard safeguards (e.g., encryption in transit and at rest). No system is 100% secure, and you are responsible for maintaining appropriate security on your systems and accounts.
13. Changes to the Services
We may modify or discontinue features at any time. If a change materially reduces core functionality of a paid plan, we will make reasonable efforts to notify you in advance.
14. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” VOCANT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TRANSCRIPTION ACCURACY MAY VARY WITH AUDIO QUALITY, NOISE, ACCENTS, AND DOMAIN-SPECIFIC TERMINOLOGY.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOCANT AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. VOCANT’S TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO VOCANT FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
16. No Guarantee of Availability
We make no guarantees about uptime or uninterrupted access. Services may be unavailable at any time for maintenance, upgrades, outages, or other reasons.
17. Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control, including but not limited to natural disasters, internet failures, government actions, or labor disputes.
18. Indemnification
You agree to defend, indemnify, and hold harmless Vocant LLC, its affiliates, officers, directors, employees, contractors, and agents from and against all claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees and costs, arising out of or in any way connected with: (a) your access to or use of the Services, (b) your violation of these Terms, (c) your violation of any third-party rights, including intellectual property rights, or (d) any dispute between you and a third party relating to your use of the Services.
19. Suspension & Termination
We may suspend or terminate access for violations, security risks, non-payment, or legal compliance. You may stop using the Services at any time. Certain sections survive termination (e.g., IP, disclaimers, limitations of liability, payment obligations).
No refunds upon suspension or termination: If your account is suspended or terminated, you are not entitled to refunds, credits, or compensation for amounts paid prior to the suspension or termination date.
20. Governing Law & Disputes
These Terms are governed by the laws of the State of Kansas, without regard to conflict-of-laws rules. The exclusive venue for disputes will be the state or federal courts located in Johnson County, Kansas, and you consent to their jurisdiction.
21. Changes to These Terms
We may update these Terms from time to time. Changes will be posted with an updated effective date. If changes are material, we will provide reasonable notice.
